1. Business identity and acceptance
XIShift is a Game Shift product owned and operated by Nathan Looman, a sole proprietor doing business as Game Shift and XIShift. In these Terms, “XIShift,” “Game Shift,” “we,” “us,” and “our” refer to Nathan Looman doing business as Game Shift and XIShift, together with the business’s employees, contractors, agents, service providers, licensors, successors, and assigns, as applicable.
If you do not agree to these Terms, do not access or use the Service.
2. Eligibility and authorized users
You must be at least 18 years old and legally capable of entering into a binding agreement to create an XIShift account. The Service is intended for adult coaches, team managers, club administrators, parents, guardians, and other authorized adults. It is not intended for children to create or manage their own accounts.
If you use XIShift for a team, club, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.
3. Youth player information and authorization
XIShift allows authorized users to enter and manage limited information about youth players for legitimate team-management and player-development purposes. By entering player information, you represent and warrant that:
- You are the player’s parent or legal guardian, or you have authorization from the player’s parent, legal guardian, club, or organization to enter and manage the information.
- Your collection and use of player information complies with applicable laws, league rules, organizational policies, and consent requirements.
- You will enter only information reasonably necessary to use the Service.
- You will not enter sensitive information that XIShift does not specifically request.
XIShift does not independently verify that a user has obtained every required permission or consent. Users and their organizations are responsible for obtaining and maintaining all necessary authorizations.
4. Birth month and year
XIShift may request a player’s complete date of birth during initial entry for the limited purpose of calculating and verifying the player’s age or appropriate age group. After that initial process is completed, XIShift stores only the player’s birth month and birth year. XIShift does not retain the player’s full date of birth as part of the player’s stored profile.
A player’s stored birth month and year may be displayed on the player profile for age-verification purposes. Users must not place a player’s complete date of birth in notes, custom fields, uploaded files, match reports, messages, or other areas of the Service.
5. Player names and profile information
XIShift may display players using their preferred nickname, if provided, followed by their last initial. If no nickname is provided, the player’s first name and last initial may be displayed.
Users are responsible for ensuring that player information is accurate, appropriate, and current. XIShift is not responsible for incorrect, incomplete, outdated, or unauthorized information entered by a user.
6. User responsibility for removing player information
Users are responsible for reviewing their team and club rosters and removing players who are no longer associated with their team, club, or organization. Users must promptly remove or request the removal of:
- Former players who are no longer on an active or legitimately retained historical roster.
- Duplicate player profiles.
- Incorrect or outdated player information.
- Player information that the user is no longer authorized to access.
- Information that a parent, guardian, club, or organization has validly requested be removed, subject to applicable legal or record-retention requirements.
XIShift is not responsible for a user’s failure to remove former players, outdated records, or other player information from an account controlled by that user or the user’s organization. We may remove, restrict, anonymize, or delete player information when we reasonably believe it is outdated, unauthorized, unlawful, unsafe, or inconsistent with these Terms.
7. Account security
You are responsible for maintaining the confidentiality and security of your account credentials and for all activity occurring through your account. You agree to provide accurate information, use a secure password, restrict access to authorized individuals, keep user permissions current, sign out of shared devices, and promptly notify XIShift if you suspect unauthorized access.
You may not share login credentials with unauthorized individuals or use another person’s account without permission.
8. Acceptable use
You may use XIShift only for lawful team-management, sports-development, coaching, administrative, and related purposes. You may not:
- Use the Service for unlawful, fraudulent, abusive, threatening, discriminatory, or harmful conduct.
- Upload information you do not have the right to collect, use, or share.
- Harass, exploit, identify, contact, or target a minor improperly.
- Upload highly sensitive information unless XIShift expressly provides a designated feature for it.
- Attempt to access another user’s, team’s, or club’s information without authorization.
- Circumvent account permissions or security controls.
- Introduce malware, malicious code, automated scraping tools, or disruptive technology.
- Reverse engineer, copy, resell, sublicense, or commercially exploit the Service except as expressly authorized.
- Use XIShift in a manner that could damage the Service or interfere with another user’s access.
- Misrepresent player statistics, identity, eligibility, attendance, medical status, or authorization.
We may suspend or terminate accounts that violate these Terms or create a security, privacy, legal, or safety risk.
9. User content
“User Content” includes rosters, names, statistics, match events, notes, photographs, videos, documents, team information, logos, and other materials submitted through the Service.
You retain ownership of your User Content. You grant XIShift and Game Shift a limited, nonexclusive, worldwide license to host, store, copy, process, transmit, display, back up, and otherwise use User Content only as reasonably necessary to provide, secure, maintain, improve, or support the Service.
You represent that you have all rights and permissions necessary to submit the User Content and grant this license. You are responsible for maintaining your own copies of important information. XIShift is not intended to serve as the sole permanent archive for team or player records.
10. Photographs and videos
If you upload photographs or videos, you represent that you have permission to capture, upload, store, and use the media and that doing so does not violate any player, parent, guardian, club, league, venue, or third-party rights or policies.
XIShift does not obtain publicity or promotional rights to youth-player photographs or videos merely because the content is uploaded to a private user account. Any separate promotional use by XIShift will require appropriate permission.
11. Player statistics and coaching information
Statistics, playing-time calculations, position tracking, reports, recommendations, and other information generated through XIShift depend on information entered by users and may contain errors or omissions.
XIShift is a team-management and informational tool. It does not guarantee player development, playing time, selection, eligibility, safety, performance, scholarships, recruitment, or competitive results. Coaches, clubs, parents, guardians, medical professionals, and other responsible adults remain solely responsible for decisions affecting players.
12. Subscriptions and billing
Paid XIShift subscriptions are billed monthly unless a different billing period is clearly disclosed when purchased. By purchasing a subscription, you authorize XIShift and its payment processor to charge the applicable recurring fees and taxes using your selected payment method.
Subscriptions automatically renew until canceled. You may cancel before your next renewal date to prevent the next recurring charge. Cancellation does not create a right to a prorated refund or credit for the unused portion of a billing period.
XIShift may change subscription prices or features by providing reasonable advance notice. Price changes will ordinarily apply beginning with a future billing period. Taxes, payment-processing requirements, and third-party charges may apply.
13. Free plans, trials, and promotional credits
XIShift may offer free plans, trials, coupon codes, promotional months, or account credits. These offers may be subject to additional eligibility requirements, expiration dates, feature limitations, and other conditions.
Promotional benefits have no cash value, may not be transferred or resold, may be limited to one per person, account, team, or club, may be revoked if obtained through fraud, duplication, abuse, or error, and do not extend the refund or liability limitations in these Terms. XIShift may modify or discontinue free or promotional offerings at any time, subject to applicable law.
14. Refund policy
New paid subscribers may request a refund within 30 days after their initial paid purchase if they are dissatisfied with the Service. After the initial 30-day period, subscription fees are nonrefundable except where required by law, cancellation is not prorated, and previously billed subscription periods will not ordinarily be refunded. The account may continue to have access through the end of the paid billing period.
Refund requests must be submitted to xishiftsupport@gmail.com. The maximum refund, credit, reimbursement, or other monetary recovery relating to the Service will not exceed the amount paid for one month of Service, except where a different remedy is required by applicable law. 15. Third-party services
XIShift may integrate with or provide links to third-party services, including payment processors, authentication providers, storage providers, scheduling services, and other platforms. Third-party services are governed by their own terms and privacy policies. XIShift and Game Shift do not control and are not responsible for the availability, accuracy, security, conduct, or performance of third-party services.
16. Service availability and changes
We work to provide a reliable Service, but XIShift may occasionally be unavailable because of maintenance, updates, technical issues, internet failures, security events, third-party outages, or circumstances beyond our control. We may add, modify, suspend, or discontinue features when reasonably necessary. We do not guarantee uninterrupted, error-free, or completely secure operation.
17. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available.”
XIShift and Game Shift disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, reliability, security, and compatibility.
We do not warrant that the Service will always be available or error-free; that data will never be lost, delayed, corrupted, accessed improperly, or displayed incorrectly; that statistics, reports, recommendations, or calculations will be complete or accurate; that the Service will satisfy every league, club, regulatory, or organizational requirement; or that defects will always be corrected. Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
18. Limitation of liability
To the maximum extent permitted by law, XIShift, Game Shift, and their owner, employees, contractors, agents, affiliates, service providers, licensors, successors, and other parties involved in providing the Service will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages.
This exclusion includes loss of data, revenue, profits, goodwill, business opportunities, player opportunities, photographs, videos, statistics, records, or use of the Service, regardless of the legal theory asserted and even if advised that such damages were possible.
To the maximum extent permitted by law, the total aggregate liability of XIShift, Game Shift, and all related parties for all claims arising from or relating to the Service or these Terms will not exceed the subscription fees actually paid by you for one month of Service immediately preceding the event giving rise to the claim.
For users of a free plan, total aggregate liability will not exceed the greater of the amount paid for the Service during the immediately preceding month or ten U.S. dollars. These limitations apply collectively to all claims and are not increased by the number of claims, users, players, teams, or affected individuals. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
19. Release and hold harmless
To the maximum extent permitted by law, you agree to release and hold harmless XIShift, Game Shift, and their owner, employees, contractors, agents, affiliates, service providers, licensors, successors, and other parties involved in creating, operating, supporting, or providing the Service from claims, liabilities, damages, losses, costs, and expenses arising from or relating to:
- Your use or misuse of the Service.
- Information or content entered, uploaded, shared, or retained through your account.
- Your failure to obtain required permission or consent.
- Your failure to remove former players or outdated player information.
- Coaching, roster, playing-time, eligibility, health, safety, disciplinary, or player-development decisions.
- Disputes between coaches, clubs, organizations, players, parents, guardians, or other users.
- Unauthorized access caused by your failure to protect account credentials or manage permissions.
- Your violation of these Terms or applicable law.
This section does not release any party from liability that cannot lawfully be waived.
20. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless XIShift, Game Shift, and their owner, employees, contractors, agents, affiliates, service providers, licensors, successors, and assigns from third-party claims, damages, judgments, liabilities, penalties, costs, and reasonable legal fees arising from your User Content; your use or misuse of the Service; your violation of these Terms; your violation of another person’s privacy, publicity, intellectual-property, contractual, or other rights; your failure to obtain authorization to enter or manage player information; your failure to remove player information you are no longer authorized to retain; or conduct occurring through your account.
We reserve the right to control the defense of any covered matter, and you agree to provide reasonable cooperation.
21. Privacy
Your use of XIShift is also governed by the XIShift Privacy Policy. The Privacy Policy explains the categories of information collected, why information is used, how it may be shared, applicable retention practices, and available privacy choices. If these Terms conflict with the Privacy Policy regarding the handling of personal information, the Privacy Policy will control for that issue.
22. Account suspension and termination
You may stop using XIShift and cancel your subscription at any time. We may suspend, restrict, or terminate access if you violate these Terms; payment is overdue or cannot be processed; your account presents a privacy, security, safety, or legal risk; you use the Service in a harmful, fraudulent, or abusive manner; suspension or termination is required by law or a service provider; or continued operation could harm XIShift, Game Shift, users, players, or third parties.
Termination does not eliminate payment obligations incurred before termination or provisions intended to survive, including ownership, disclaimers, liability limitations, releases, indemnification, and dispute provisions.
23. Electronic communications
You consent to receive agreements, notices, billing information, service announcements, and other communications electronically. Transactional and legally required communications are part of the Service and may still be sent even if you opt out of optional marketing communications.
24. Intellectual property
XIShift, Game Shift, their logos, software, interfaces, designs, text, graphics, features, and other proprietary materials are owned by or licensed to Game Shift and are protected by applicable intellectual-property laws. These Terms provide a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purpose. No ownership rights are transferred to you.
25. Governing law and venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. To the extent a dispute is permitted to proceed in court, you agree that it will be brought exclusively in the state or federal courts having jurisdiction in Kane County, Illinois, and you consent to their personal jurisdiction and venue.
Nothing in this section prevents either party from bringing an eligible matter in small-claims court or exercising rights that cannot legally be restricted.
26. Changes to these Terms
We may update these Terms to reflect changes to the Service, legal requirements, security practices, or business operations. When a material change is made, we will provide reasonable notice through the Service, by email, or by another appropriate method. The updated Terms will state their effective date.
Continued use of the Service after the effective date of updated Terms constitutes acceptance where permitted by law. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
27. General provisions
These Terms and the policies expressly incorporated into them constitute the entire agreement concerning your use of XIShift. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver of that provision.
You may not assign your rights or obligations under these Terms without our written permission. We may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service. Section headings are provided for convenience and do not affect interpretation.
